1. Seller Information

These Terms of Service (“Terms”) govern your use of the Kupriva online store and all purchase contracts entered into through our website.

For purposes of these Terms, a consumer is an individual purchasing products primarily for personal, family or household use and not for resale or business purposes.

Any customer terms that differ from these Terms will apply only if expressly accepted by Kupriva. Nothing in these Terms limits any rights that cannot legally be waived under applicable consumer protection laws.

2. Use of the Online Store and Customer Accounts

You must be at least 18 years old, or the age of legal majority where you live, and have the legal capacity to enter into a contract. If you are under the applicable age of majority, you may use the store only with the involvement and consent of a parent or legal guardian.

If we offer customer accounts, all information provided during registration must be accurate, complete and kept up to date. You are responsible for keeping your login information confidential and must not share it with unauthorized third parties.

Please notify us immediately if you believe your account has been accessed or used without authorization.

We may temporarily suspend or permanently close an account if we have reasonable grounds to suspect unlawful activity, fraud, misuse or a serious violation of these Terms. Whenever reasonably possible, we will notify the affected customer before or promptly after taking such action.

Account suspension or closure does not affect orders already accepted or rights that cannot legally be waived.

3. Product Listings and Information

Product listings on the Kupriva website are provided to allow customers to review products and submit orders. Product descriptions, specifications, prices and availability are subject to change for future orders.

Product images are provided for illustrative purposes. Colors may appear slightly different depending on your screen, device and lighting conditions.

The product description and specifications displayed at the time you place your order will apply to that order, subject to applicable law.

We may update our product catalog, modify products that have not yet been ordered, change product descriptions or remove products from the store. These changes will not affect orders that have already been accepted.

4. Ordering and Contract Formation

You may add products to your shopping cart without obligation. Before submitting your order, you may review and correct the information you entered using the options provided during checkout.

By clicking the final order button, which clearly indicates an obligation to pay, you submit a binding order for the products in your cart.

An automated order acknowledgment confirms that we received your order. It does not by itself mean that your order has been accepted unless the acknowledgment expressly states otherwise.

A purchase contract is formed when we accept your order by sending an express order confirmation, shipping confirmation or by shipping the products, whichever occurs first.

We may decline or cancel an order if a product is unavailable, payment cannot be authorized, we suspect fraud or misuse, the order contains an obvious pricing or listing error, or fulfillment is prevented for legal or operational reasons.

If we cancel an order after receiving payment, we will issue a refund to the original payment method.

These Terms and the purchase contract are provided in English. Your order details and applicable Terms will be included in your order confirmation email or made available through another durable electronic format.

5. Prices, Taxes, Shipping and Payment

Prices for the United States are displayed in U.S. dollars (USD), unless otherwise stated.

Applicable sales tax and any shipping charges will be calculated and displayed before you submit your order. The total amount shown at checkout is the amount payable for your order, except where an obvious error has occurred or additional charges are required by applicable law.

Shipping availability and any delivery restrictions will be shown during checkout. Additional information is available in our Shipping Policy.

Prices may change at any time, but changes will not affect orders that have already been accepted.

Promotional discounts are subject to the specific terms displayed with the applicable promotion. If promotional terms conflict with these Terms, the more specific promotional terms will apply, provided they do not limit rights that cannot legally be waived.

Available payment methods are displayed during checkout. Payment may be processed by the payment provider selected at checkout.

You must provide complete and accurate billing and payment information and use only a payment method that you are authorized to use.

6. Delivery and Delivery Times

We ship orders to eligible U.S. addresses shown during checkout. Any geographic or delivery restrictions will be displayed before you place your order.

Estimated processing and delivery times are shown on the product page, in the shopping cart, at checkout or in our Shipping Policy.

Delivery dates are estimates unless expressly identified as guaranteed. We are not responsible for delays caused by carriers, weather, peak shopping periods, customs or events outside our reasonable control.

If a significant delay occurs, we will provide an update when reasonably possible. Your rights under applicable law are not affected by delivery delays.

7. Title and Risk of Loss

Title to the products passes to you upon the later of full payment and delivery, unless applicable law provides otherwise.

Risk of loss or accidental damage generally passes to you when the carrier confirms delivery to the shipping address provided at checkout, except where applicable law requires a different result.

8. Returns, Cancellations and Refunds

Returns and refunds are governed by our Return & Refund Policy.

Our Return & Refund Policy explains the available 30-day return period, eligibility requirements, return authorization procedure, return shipping costs and refund process.

Nothing in our Return & Refund Policy or these Terms limits any rights or remedies that cannot legally be waived under applicable federal or state law.

9. Product Warranties and Defects

Products may be covered by express warranties stated on the applicable product page or in separate warranty terms.

Any lifetime replacement warranty advertised by Kupriva is a voluntary warranty offered in addition to any rights and remedies available under applicable law. Details are available in the applicable Lifetime Replacement Warranty terms.

We do not exclude or limit warranties, remedies or consumer protections that cannot legally be excluded or limited. Where permitted by law, any applicable limitations or disclaimers will apply only to the extent legally allowed.

If a product is defective, damaged, incomplete or does not match your order, please contact us at contact@kupriva.com. We may request your order number, a description of the issue and photographs to help us investigate the matter more efficiently.

You should follow all product descriptions, safety information and usage instructions. To the extent permitted by law, damage caused by misuse, unauthorized modification or failure to follow instructions may affect the available warranty or remedy where the misuse caused the issue.

10. Permitted Use of the Online Store

You may use the online store only for lawful purposes. You must not:

• Violate any applicable law or the rights of another person;

• Transmit malware, viruses or other harmful code;

• Bypass security, access or technical restrictions;

• Collect or use another user’s personal information without authorization;

• Use the store for fraud, impersonation, spam or unlawful advertising; or

• Use automated systems to extract content in a way that violates applicable law, unreasonably burdens our systems or infringes protected rights.

This section does not prohibit activities permitted by applicable law.

11. Intellectual Property

The text, photographs, graphics, videos, logos, trademarks, designs, software and other content on the Kupriva website may be protected by copyright, trademark and other intellectual property laws.

These materials belong to Kupriva, our licensors or the applicable rights holders.

You may use the website for personal and non-commercial purposes. Any reproduction, modification, publication, distribution or commercial use of protected content requires prior written permission from the applicable rights holder unless permitted by law.

12. Reviews, Comments and User Content

If you voluntarily submit a review, photograph, comment or other content, you represent that you have the necessary rights to submit it and that it does not violate the rights of others or applicable law.

Any compensation or incentive connected to a review must be disclosed clearly and accurately.

You grant Kupriva a non-exclusive, worldwide, royalty-free license to store, display, technically adapt and use the submitted content in connection with the online store and our own marketing channels.

This license applies only for as long as the content is used for those purposes and does not affect your privacy rights, publicity rights, moral rights or other rights that cannot legally be waived.

We may reject or remove content that is unlawful, misleading, abusive, discriminatory, inauthentic or unrelated to the relevant product or service.

13. Third-Party Services and Links

The online store may include features, content or links provided by third parties.

Any transaction you enter into directly with an identifiable third-party provider is governed by that provider’s terms and policies. You should review those terms before completing a transaction with the third party.

To the extent permitted by law, Kupriva is not responsible for independent third-party content or services that we do not control or adopt as our own.

We remain responsible for our own obligations and for third-party service providers that we use to fulfill our contractual obligations.

14. Shopify

Shopify provides the technical infrastructure used to operate our online store.

All purchase contracts for products offered through the store are entered into exclusively between you and Zellumia LLC, doing business as Kupriva.

Shopify is not the seller of Kupriva products. This does not affect any responsibility Shopify may have for its own services under applicable law.

15. Errors and Product Availability

We make reasonable efforts to keep product descriptions, prices, shipping costs, delivery estimates and availability information accurate and up to date.

We may correct obvious typographical, calculation or display errors. Price or content changes will not apply retroactively to orders that have already been accepted.

If an ordered product becomes unavailable and we cannot fulfill the order, we will notify you as soon as reasonably possible and refund any amount paid for the unavailable product.

16. Limitation of Liability

We are responsible for losses and damages caused by our breach of these Terms or by other conduct for which we are legally responsible, subject to applicable law.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence where such limitation is not permitted, death or personal injury caused by negligence, defective products, or any other liability that cannot legally be excluded or limited.

To the fullest extent permitted by law, Kupriva will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, loss of revenue, loss of data or business interruption arising from your use of the store or products.

These limitations do not reduce any consumer rights or remedies that cannot legally be limited.

17. Privacy

Information about how we collect, use, store and protect personal information, including the service providers we use such as Shopify, is available in our Privacy Policy.

18. Events Beyond Our Reasonable Control

Neither party will be responsible for a delay or failure to perform an obligation to the extent caused by an event that is unforeseeable, beyond reasonable control and could not reasonably have been prevented or overcome.

Examples may include natural disasters, severe weather, transportation disruptions, labor disputes, war, terrorism, government restrictions, widespread internet or utility outages and similar events.

The affected party will provide notice when reasonably possible and will take reasonable steps to reduce the effects of the delay.

This section does not affect any rights to cancel, terminate, receive a refund or seek another remedy where required by applicable law.

19. Customer Complaints and Dispute Resolution

If you have a concern about an order or our services, please contact us first at contact@kupriva.com so that we can review the issue and attempt to resolve it directly.

This request does not limit your right to contact your payment provider, financial institution, state attorney general or another consumer protection agency.

Nothing in these Terms prevents you from pursuing any remedy available to you under applicable law.

20. Governing Law and Jurisdiction

These Terms and purchase contracts are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that non-waivable consumer protection laws of your state of residence may also apply.

Any legal action must be brought in a court with proper jurisdiction over the parties and the dispute. To the extent permitted by law, courts located in Delaware may have jurisdiction over disputes involving Kupriva.

If you are a consumer, this choice of law and jurisdiction does not deprive you of protections or rights that cannot legally be waived under the laws applicable to you.

21. Changes to These Terms

We may update these Terms for future orders when reasonably necessary because of changes in applicable law, court decisions, technical processes, business operations or our services.

The version of these Terms displayed when you place your order will apply to that purchase. Changes will not apply retroactively to accepted orders unless expressly agreed in a legally valid manner.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the fullest extent permitted by law or removed to the minimum extent necessary.

The remaining provisions will continue in effect.

Any specific agreement between Kupriva and a customer will take precedence over these Terms where applicable, provided it does not waive rights that cannot legally be waived.
